1. Scope of application
The following terms and conditions apply exclusively to all services whose subject matter is training measures and/or training courses (hereinafter collectively referred to as "Training") provided by HIMA Paul Hildebrandt GmbH (hereinafter referred to as "HIMA"), as well as HIMA's General Terms and Conditions of Service. Deviating terms and conditions of the customer shall not become part of the contract, even if they are expressly referred to in the order.
2. Conclusion of contract
At the customer's request, HIMA shall prepare a corresponding offer. If the customer accepts this offer by order confirmation, the binding registration (conclusion of contract) for the Training is complete.
3. Participation fees and payment
The prices referenced in the offer apply in euros plus the applicable VAT. The participation fees are charged to the customer per participant and include the services listed in section 4. The participation fees for the respective Training together with any additional services are to be paid without deduction no later than 10 days before the start of the Training. Deviating conditions may be specified in the respective offer.
4. Scope of services
Unless otherwise stated, the price includes participation in the Training, as well as the associated accompanying materials and a certificate of participation in accordance with the offer. If the Training takes place at HIMA’s location in Brühl (Baden), the scope of services includes catering during breaks and lunch on the training days, as well as the use of the respective training rooms.
At the customer's request, HIMA may conduct certain Training at the customer's premises ("On-Site Training"). The customer is responsible for ensuring the necessary framework conditions for this On-Site Training, in particular the necessary internet access for a smooth implementation. The customer shall ensure that the training equipment is stored securely at its own expense in order to protect it from destruction, damage or theft. After the end of the On-Site Training, the customer is responsible for the safe storage of the training equipment, such as training systems and computers, until it is collected.
If the Training is not conducted in person, the customer shall ensure that the technical requirements for participation are met.
5. Training times
Unless otherwise stipulated in the offer, the training times shall be agreed between HIMA and the customer on the agreed date with a lead time of at least 14 calendar days.
6. Rights of use to training materials
The training materials provided by HIMA are protected by copyright and may not be reproduced or distributed without HIMA's consent. The right to make backup copies remains unaffected by this.
7. Cancellation by the customer
A subsequent change of the training date by the customer is possible by mutual agreement with HIMA.
Withdrawal (cancellation) by the customer shall be made by post or email to training(at)hima.com in writing.
For cancellations received by HIMA no later than 30 calendar days prior to the start of the Training, the obligation to pay the remuneration shall be waived. For cancellations received at least 15 calendar days before the start of the Training, the obligation to pay the fee is reduced by 50%. In the event of a later cancellation, the participation fees are due in full.
The customer always has the option of nominating suitable substitute participants for Training without incurring additional fees.
8. Postponement
In the event of withdrawal of the Training for organisational reasons by HIMA, or due to force majeure events, the remuneration already paid to date will be refunded. In this case, the customer will be informed immediately. HIMA will offer an alternative date if this is possible.
